1. Legal Seller And Website Brand

JHS Acoustic is the website brand and is not a separate legal entity.
2. Scope And Transaction Documents
These baseline terms apply to use of the website and to business-to-business enquiries, quotations, samples and product transactions unless a more specific accepted transaction document states otherwise. Mandatory rights that cannot lawfully be excluded remain unaffected.
If these website terms conflict with a formal Quotation, Proforma Invoice, accepted Purchase Order or Sales Contract that both parties accept, the more specific and later transaction document prevails for that transaction. A sales contract may separately specify which language version controls.
3. Quotations, Prices And Payment
A quotation is valid only for the period stated in that Quotation or Proforma Invoice. Currency, price, taxes, duties, freight, bank charges, payment schedule and other commercial terms are governed by the applicable accepted quotation, invoice or sales contract.
Website content and an enquiry submission do not create a binding price, minimum order quantity, delivery commitment, performance guarantee or payment arrangement.
4. Products, Samples And Custom Work
Product parameters, colours, textures, samples and production batches may show reasonable variation. Performance, fire classification and suitability must be confirmed against the approved product configuration, current supporting documents and intended installation.
Custom, OEM and made-to-specification products generally cannot be cancelled or returned without cause after production commitments begin, subject to the accepted transaction document and any mandatory rights under applicable law.
Sample cost, freight, dispatch and any credit against a later order are determined only by the applicable quotation or written sample arrangement.
5. Delivery, Incoterms, Risk And Title
Any Incoterm applies only when the accepted quotation or contract expressly identifies a named Incoterms® 2020 rule and named place. No Incoterm is implied by this website.
Production and delivery periods are reasonable estimates unless a written contract expressly guarantees a date. Risk transfer and transfer of ownership are governed by the applicable Incoterm, payment status and accepted sales contract.
6. Inspection, Quality And Remedies
The buyer should inspect goods within a reasonable time after receipt and promptly report visible quantity, packaging or product issues in writing with suitable evidence.
Any quality warranty, warranty period, claim procedure and remedy are governed by the applicable product document, accepted quotation or signed contract. This website does not create a fixed warranty period, return period, claim deadline or remedy.
7. Website Content And Intellectual Property
Website text, photographs, drawings, datasheets, trademarks, logos and other content are owned by or licensed to the operator. Datasheets may be used internally to evaluate a genuine project; other copying, redistribution, modification or competitive commercial use requires written authorization or another lawful basis.
You must not disrupt the website, submit fraudulent information, bypass security, or use automated tools to extract technical or commercial content at scale without permission.
8. Confidentiality, Export And Sanctions
Each party should protect non-public commercial and technical information received for a transaction and use it only for the relevant business purpose, subject to any more specific confidentiality agreement.
Transactions are subject to applicable export-control, customs, trade-sanctions and restricted-party requirements. Neither party is required to perform an obligation that would violate applicable law.
9. Force Majeure And Liability
A party is not responsible for delay or failure caused by events beyond its reasonable control, provided it gives reasonable notice and takes reasonable steps to reduce the effect where practicable.
To the maximum extent permitted by applicable law, neither party is liable under these website terms for indirect, incidental, special or consequential loss. Nothing in these terms excludes or limits liability or mandatory rights that applicable law does not permit to be excluded or limited. Any transaction-specific liability allocation is governed by the accepted sales contract.
10. Governing Law And Dispute Resolution
The website, enquiries, quotations and related services are, in principle, governed by the laws of the People's Republic of China. Unless mandatory applicable law provides otherwise, disputes are submitted to the competent People's Court at the company's registered address after reasonable efforts at good-faith negotiation.
Mandatory consumer-protection or privacy laws applicable to users in another country or region are not excluded by this clause.
11. Updates
Updated website terms will show a revised date. Changes do not retroactively replace a more specific accepted transaction document unless the parties agree or applicable law requires otherwise.
